Trader / Dealmaker March Madness Tournament Rules

1. The Trader/Dealmaker March Madness Challenge (the “Contest”) is a game of skill that requires each contestant to choose one winner from every individual game for every day that match-ups occur in the Men's NCAA College Basketball Tournament, which runs from Thursday March 15th, 2007 through Monday April 2nd, 2007.

2. No purchase or payment of any kind is necessary to enter or win. A purchase or payment will not increase your chances of winning. The Contest is void where prohibited, taxed or otherwise restricted by law.

3. All participants must be 21 years of age or older and U.S. residents only.

4. All participants must be registered members of TraderDaily.com and/or DealmakerDaily.com. Registration is free and open to subscribers and non-subscribers of Trader Monthly and Dealmaker magazines.

5. A separate Trader/Dealmaker March Madness Challenge registration is required as well. Registration for the Contest must be received before the first game begins on March 15, 2007.

6. Each contestant must complete the Contest registration process to become eligible to play. Once you create a username (your email address) and choose a password on our partner site at PoolTracker.com, you will then be given the opportunity to play the Trader/Dealmaker March Madness Challenge.

7. On March 11, 2007, the NCAA Selection Committee will announce the bracket pairings for the first round games. There will be one "play-in" game on Tuesday, March 13. The winner of this game qualifies for the final spot in the 2007 Men's NCAA College Basketball Tournament. By Wednesday morning, Pooltracker will have the complete bracket pairings available for all players. At this time, each player will be allowed to login and make their selections for the first day's games in the "Trader/Dealmaker March Madness Challenge."

8. Each player will be allowed to make picks 24/7 leading up to the tip-off of the first game of each day, and selections must be received by that time. Once the first game has started for the day, you will not be able to make selections. For every match, you may choose one of two potential teams. After you make all the available selections from the four regions, you then select the "save picks" button. You will receive a confirmation message and be able to view your picks for each day by clicking on the "View/Print Picks" link near the top of the website.

9. Once you make your selections, you can't change them. So, please be careful when entering your selections. We strongly recommend checking your picks before clicking on the "Save Picks" button. If you do not make your picks for a particular day, you will not receive any points for that day.

10. Players can select an entire round in advance if they choose to do so. A round comprises all the available games from each of the four regions. There are six total rounds in the tournament.

11. One point will be awarded for each correctly predicted Men's NCAA College Basketball Tournament game up to the final championship game. At the time of the championship game, if one contestant has more points than any other contestant, that contestant will be declared the winner of the "Trader/Dealmaker March Madness Challenge."

12. If more than one contestant has the same number of points at the time of the final championship game, those contestants will be invited to compete in the "Trader/Dealmaker March Madness Challenge 'Final Round.'" Each Final Round contestant must predict the following:

- Which team will win the championship game - Final score of the championship game

13. The Final Round winner will be the contestant who picks the winning team of the championship game. If more than one Final Round contestant picks the winning team, two tie-breakers will ensue:

Tiebreaker #1 - Closest predicted score of championship game (calculated as the sum of differences between predicted and actual scores for each team) Tiebreaker #2 - Earliest date stamp of picks

All contestants eligible to compete in the "Trader/Dealmaker March Madness Challenge 'Final Round'" will be notified by email at the same time.

14. Pooltracker will post the scores shortly after every "playing day" in every round, unless unforeseen complications arise. Scoring disputes must be emailed to support@pooltracker.com 24 hours prior to start of each round. Any disputes arriving after this time will not be addressed and will be deemed waived. All scores are final following the start of the next round. Pooltracker reserves the right to deny any scoring inaccuracies at any time due to circumstances beyond our control. See our Terms & Conditions page. It is each player's responsibility to confirm his or her own selections. Players should verify their selections on the "View / Print Picks" page located on the top of the most pages.

16. If a game is rescheduled for another day during the week, all picks may be made and/or changed until the rescheduled tip-off time.

17. Doubledown Media expressly reserves the right to immediately modify, suspend or terminate your account and refuse current or future use of any Doubledown Media service, including the Contest, if Doubledown Media: (a) in its sole discretion, believes you have violated or tried to violate the rights of others; (b) becomes aware of information indicating a safety concern for you, other Contest players, or the general public, or (c) in its sole discretion, believes that you have acted inconsistently with the spirit or letter of these Rules. The Contest is offered at the discretion of Doubledown Media, and Doubledown Media has the right to modify or discontinue the Contest temporarily or permanently, whether in whole or in part for any reason, with or without notice to you. You agree that Doubledown Media will not be liable to you or to any third party for any modifications or discontinuance of the Contest.

18. No responsibility will be taken for computer errors on the part of participants. Any use of robotic, automatic, macro, programmed or like entry methods will void all such entries by such methods and persons using any such methods will be disqualified. By entering, contestants acknowledge that Doubledown Media, its affiliates, subsidiaries and advertising and promotions agencies and their respective employees, officers, shareholders, directors and agents are not responsible for and shall not be liable for: (i) telephone system, technical or computer malfunctions, lost connections, disconnections or transmission errors; (ii) data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials; or (iii) any printing, typographical, administrative or technological errors in any material associated with the Contest. Doubledown Media reserves the right, in its sole discretion, to modify, cancel or suspend this Contest should a virus, bug, computer problem or any other cause or problem corrupt or inhibit the administration, security or proper operation of the Contest and, in such situation, to select the winner from entries received prior to the action taken or in such manner as deemed fair and appropriate by Doubledown Media.

ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, DOUBLEDOWN MEDIA RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM THOSE RESPONSIBLE TO THE FULLEST EXTENT PERMITTED BY LAW.

19. The Contest is void where prohibited by law.

20. The Contest is neither affiliated with nor endorsed by the NCAA or any other organization. Player and team names and statistics are used for informational purposes only. Statistics supplied are from sources believed to be reliable.

21. The Grand Prize must be accepted as awarded and will be awarded only to the qualifying contestant. Identification will be required. Taxes, if any, are the responsibility of the contestant. Chances of winning the Contest are dependent upon the skill used in picking winning teams and the total number of eligible participants. The contest is subject to all federal, state and local laws. The Contest administrator reserves the right to disqualify any contestant or to withdraw or amend the contest at any time in its absolute discretion in case of error, technical problem or any matter interfering with the conduct of the Contest as contemplated by these rules.

22. The decisions of the Contest administrator are final on all matters of fact, interpretation, eligibility, procedure and fulfillment.

23. By registering for the Contest, and as a condition of entry, you acknowledge and agree that Doubledown Media will have the right to print, publish, broadcast and use, worldwide in any media now known or hereafter developed, including but not limited to the world wide web, at any time or times, the winner's name, portrait, picture, voice, likeness and biographical information as news or information and for advertising, trade and promotional purposes without additional consideration and without notification, review or approval.

24. Each Contest participant may register just one email address. Participants are prohibited from playing the game under various aliases! Entries are void if they contain typographical or other errors. Entries generated by a script, macro or other automated means are void. Entries that are mutilated, altered, incomplete, mechanically reproduced, tampered with, illegible, inaccurate, forged, irregular in any way, or otherwise not in compliance with these Rules are also void. All entries become the property of Doubledown Media. In the event of a dispute regarding the identity of the person submitting an entry, the entry will be deemed to have been submitted by the authorized account holder of the email account from which the entry is made. The authorized account holder is the natural person to whom an email address is assigned by an Internet access provider, online service provider or other organization (e.g. business, educational institution, etc.) responsible for assigning email addresses for the domain associated with the submitted email address.

25. Each participant agrees to indemnify and hold harmless Doubledown Media, and its subsidiaries, affiliates, officers, agents, or other partners, and employees, from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of such participant’s use of, or participation in, the Contest, your violation of these Rules, or of any rights of another person or entity.

26. LIMITATIONS OF LIABILITY DOUBLEDOWN MEDIA ASSUMES NO RESPONSIBILITY FOR ANY ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMMUNICATIONS LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO ITS WEB SITES. DOUBLEDOWN MEDIA IS NOT RESPONSIBLE FOR ANY PROBLEMS OR TECHNICAL MALFUNCTION OF ANY TELEPHONE NETWORK OR TELEPHONE LINES, COMPUTER ON-LINE SYSTEMS, SERVERS, COMPUTER EQUIPMENT, SOFTWARE, FAILURE OF ANY E-MAIL OR ENTRY TO BE RECEIVED BY DOUBLEDOWN MEDIA ON ACCOUNT OF TECHNICAL PROBLEMS, HUMAN ERROR OR TRAFFIC CONGESTION ON THE INTERNET OR AT ANY WEB SITE, OR ANY COMBINATION THEREOF.

27. Participants agree to submit to the personal and exclusive jurisdiction of the courts located within the county of New York, New York, USA. These Rules and the relationship between participants and Doubledown Media will be governed by the laws of the State of New York, without regard to its conflicts of law provisions
